License

LQnians NFT License Agreement

This LQnians NFT License Agreement (the “License”) is a legally binding agreement between QueenMaker and you. By acquiring an LQnians NFT, you own the personal property rights to the underlying token, but you do not own the associated artwork, intellectual property, or branding, except for the specific licensed rights outlined in this License.

Definitions

  • “LQnians NFT” – Any LQnians-branded or themed NFT created by or on behalf of QueenMaker.

  • “LQnians NFT Art” – The artwork, image, or creative work associated with a specific LQnians NFT.

  • “QueenMaker” – A private decentralized autonomous organization (DAO) operated by the QueenMaker Core Group.

  • “Commercial Use” – Any activity performed with the intent to generate revenue, including selling NFTs, creating and selling merchandise, or producing comic books or video games.

  • “NFT” – Any blockchain-tracked non-fungible token (ERC-721A, ERC-721, ERC-1155, or other standards).

  • “You” – A lawful owner of an LQnians NFT.

License Grant

As long as you lawfully own an LQnians NFT, you are granted the following rights:

  1. Personal, Non-Commercial Use

    • A non-exclusive, worldwide, royalty-free license

    • To use, reproduce, display, modify, and create derivative works of your LQnians NFT Art for personal, non-commercial purposes.

    • Examples: Displaying in your wallet, setting as a profile picture, creating a pixel-art version, etc.

  2. Commercial Use

    • A non-exclusive, worldwide, royalty-free, sublicensable (only to service providers assisting with Commercial Use) license

    • To use, copy, reproduce, and display LQnians NFT Art for commercial purposes.

    • You may not use third-party intellectual property included in specific NFTs unless explicitly permitted.

Modifications and Derivative Works

You may create modifications and derivative works of your LQnians NFT Art. However, QueenMaker retains the same rights and may create similar or identical works.

By accepting this License, you waive all claims against QueenMaker if QueenMaker or its contributors produce artwork similar to your own derivative work.

In simple terms: You can modify your LQnians NFT Art, but QueenMaker can also create similar content, and you cannot claim ownership over it.

Transfer of Ownership

If you sell or transfer your LQnians NFT, this License automatically terminates and the new owner is granted the same rights under this agreement.

  • By purchasing, accepting, or otherwise acquiring an LQnians NFT, the new owner automatically accepts this License.

  • You may not transfer an LQnians NFT to any individual or entity under U.S. government sanctions.

In simple terms: Selling your LQnians NFT transfers this License to the new owner.

Restrictions

You may not use LQnians NFT Art in any way that:

  • Involves illegal, defamatory, harassing, abusive, fraudulent, hateful, violent, or obscene activities.

  • Promotes any activity that falls under these categories.

In simple terms: Use it responsibly.

Limitations of Liability & Indemnification

  • LQnians NFTs and associated artwork are provided “AS IS” with no guarantees of accuracy, security, or reliability.

  • QueenMaker holds no liability for indirect, incidental, special, or punitive damages, including loss of data, profit, or business.

  • All risks associated with owning, using, and trading LQnians NFTs are solely your responsibility.

  • QueenMaker is fully indemnified from any legal disputes or liabilities related to NFT ownership and use.

In simple terms: QueenMaker is not responsible for NFT price fluctuations, technical issues, or legal disputes. All risks are on you.

Other Provisions

  • Additional Features

    • QueenMaker may offer additional benefits to NFT holders in the future.

    • However, there is no obligation to do so.

  • License Updates

    • QueenMaker may update this License.

    • Significant changes may be announced, but it is your responsibility to check for updates.

  • License Termination

    • Violating any part of this License immediately revokes all rights.

    • QueenMaker reserves the right to terminate access to NFT-related benefits.

  • Legal Provisions

    • QueenMaker is not liable for any legal disputes related to LQnians NFTs.

    • All legal matters are subject to applicable jurisdictional laws.

In simple terms: QueenMaker can introduce more features but is not obligated to do so. If you violate this License, your rights are immediately revoked. You assume all risks associated with NFT ownership.

Final Note

By owning an LQnians NFT, you accept this License and acknowledge that QueenMaker holds no liability for price changes, technical issues, or legal concerns.

LQnians NFTs are assets owned and used at your own risk. Enjoy responsibly.
